INTRODUCTION.
Welcome to Ollee Technologies, Inc. ("Ollee," "we," "our," or "us"). By accessing and using the Ollee Skate Tracker device ("Skate Tracker"), the Ollee mobile application ("App"), website, and related services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please do not proceed to use our product and services.
Your use of the Skate Tracker, the App, and our services signifies your acceptance of these Terms and your commitment to comply with them. These Terms constitute a legal agreement between you and Ollee Technologies, Inc. regarding the use of our product and services.
We reserve the right to modify these Terms at any time without prior notice. Any modifications will be effective upon posting on our platform. Your continued use of our product and services following any changes signifies your acceptance of the updated Terms.

USER ELIGIBILITY AND REGISTRATION.
Eligibility Requirements: To access and use our Skate Tracker, the App, and related services, you must meet the eligibility criteria outlined in these Terms. By accessing, using, or interacting with our product and services, you affirm that you are at least 18 years of age or older and possess the legal capacity to enter into this agreement. If you are using our product and services on behalf of an entity, organization, or company, you confirm that you have the authority to bind them to these Terms.
Registration Information: When registering for our product and services, you agree to provide accurate, current, and complete information as prompted by the registration form. You also agree to update this information promptly to maintain its accuracy. The information you provide during registration includes but is not limited to your email address, username, city, country, skate style (i.e., street, vert, flatground, etc.), and skate stance (i.e., regular, goofy).
Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify Ollee Technologies, Inc. immediately of any unauthorized use of your account or any other breach of security. Ollee Technologies, Inc. will not be liable for any loss or damage arising from your failure to comply with these security obligations.
Minors: Our product and services are intended for individuals who are 18 years of age or older. If you are under the age of 18, you may only use our product and services under the supervision and consent of a parent or legal guardian. If we discover that you are under 18 and using our product and services without parental or legal guardian consent, we reserve the right to terminate your access.
Account Termination: Ollee Technologies, Inc. reserves the right to suspend or terminate your account, or refuse any current or future use of our product and services, if you provide false, misleading, or incomplete information during registration, violate these Terms, or engage in any behavior that we consider to be in breach of our policies or detrimental to the Ollee community.
User Representations: By registering for our product and services, you represent and warrant that all information provided is accurate, complete, and up-to-date. You further acknowledge that you have read, understood, and agreed to be bound by these Terms and any additional terms and policies referenced herein.
USE OF THE PRODUCT AND SERVICES.
Platform Compatibility: Our product and services are designed to operate on Bluetooth compatible devices with access to the internet and optional location services. It is your responsibility to ensure that your device meets the necessary technical requirements, including hardware specifications and software compatibility, to access and use the Skate Tracker, the App, and related features.
Use of the Skate Tracker: The Skate Tracker is a physical device intended to be attached to the bottom of a skateboard. Its purpose is to track motion and record skateboarding tricks. By attaching the Skate Tracker to your skateboard, you acknowledge that it may alter the performance of your skateboard and that its accuracy in tracking motion and tricks may vary from user to user and thus, may not be 100% accurate.
Use of the App: The Ollee mobile application pairs with the Skate Tracker to display tracking data, assign scores, badges, and rankings, and provide additional features. The App is available for download on iOS and Android platforms. Your use of the App is subject to these Terms and any additional terms and policies specified within the App.
Service Availability: We strive to ensure the availability and functionality of our product and services. However, we do not guarantee uninterrupted or error-free access to the Skate Tracker, the App, or any related services. We reserve the right to suspend, modify, or discontinue any aspect of our product and services, including the Skate Tracker and the App, at our sole discretion and without prior notice.
UPDATES AND CHANGES.
App and Skate Tracker Updates: Ollee may periodically release updates, enhancements, or modifications to the App and the Skate Tracker. These updates may include bug fixes, performance improvements, new features, or changes to existing functionality. By accessing, using, or interacting with our product and services, you acknowledge and agree to the receipt of these updates.
Notification of Updates: We may, at our discretion, provide notice of these updates through the App or other means of communication. However, it is your responsibility to ensure that you are using the most recent version of the App and Skate Tracker.
Acceptance of Updates: Your use of the updated App and Skate Tracker signifies your acceptance of these updates. If you do not agree with any aspect of the updates, you may choose to discontinue using the updated App and Skate Tracker.
Continued Functionality: We aim to enhance the functionality and user experience of the App and Skate Tracker through these updates. However, we do not guarantee that updates will always be error-free or meet your expectations.
INTELLECTUAL PROPERTY.
Ownership of Intellectual Property: Ollee is the sole owner of all intellectual property rights related to the Skate Tracker, the App, and related services, including but not limited to patents, trademarks, copyrights, trade secrets, and any other proprietary rights. Except as expressly granted in these Terms, you do not acquire any rights or licenses in or to our intellectual property.
Limited License: Subject to your compliance with these Terms, Ollee Technologies, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App and Skate Tracker for personal, non-commercial purposes. This license does not grant you any right to use our intellectual property for commercial purposes without our prior written consent.
Restrictions on Use: You are prohibited from modifying, adapting, translating, reverse engineering, decompiling, disassembling, or attempting to derive the source code of the App or Skate Tracker. You may not sublicense, rent, lease, loan, distribute, or otherwise transfer any rights in the App or Skate Tracker to any third party.
Prohibited Use of Intellectual Property: You may not use our intellectual property in any manner that is likely to cause confusion, deception, or association with our product and services. Any unauthorized use of our intellectual property is strictly prohibited and may result in legal action.
Reporting Infringements: If you believe that your intellectual property rights have been violated by our product and services, please contact us by visiting https://www.ollee.app/get-started/#support to submit a request. We take intellectual property rights seriously and will investigate and respond to legitimate infringement claims.
Third-Party Intellectual Property: We respect the intellectual property rights of third parties and expect our users to do the same. If you believe that any content on our platform infringes upon the intellectual property rights of others, please contact us to report the alleged infringement.
No Transfer of Ownership: These Terms do not transfer to you any ownership rights in our intellectual property. All rights not expressly granted to you under these Terms are reserved by Ollee Technologies, Inc.
USER CONDUCT AND CONTENT.
Acceptable Use: By accessing, using, or interacting with the Skate Tracker, the App, and related services, you agree to abide by these Terms and to engage in conduct that is lawful, ethical, and respectful of others. You shall not use our product and services for any purpose that is prohibited by applicable laws, regulations, or these Terms.
User Responsibility: You are solely responsible for your conduct while using our product and services. You shall not engage in any behavior that may disrupt, impair, or interfere with the proper functioning of the App, Skate Tracker, or our infrastructure. This includes but is not limited to hacking, data mining, scraping, introducing viruses, or any other malicious activities.
Prohibited Content: You shall not upload, post, transmit, or otherwise distribute any content that is unlawful, defamatory, libelous, harmful, harassing, abusive, obscene, invasive of privacy, or otherwise objectionable. This includes content that infringes upon the intellectual property rights of others or violates any third-party rights.
User Content Review: While we do not prescreen User Content, we reserve the right to review, monitor, and remove any User Content that violates these Terms or is deemed inappropriate. We do not endorse or control User Content and disclaim any responsibility for its accuracy, legality, or quality.
Respect for Others: You shall interact with other users and Ollee Technologies, Inc. personnel in a respectful and courteous manner. Harassment, hate speech, bullying, or any form of abusive or offensive behavior will not be tolerated.
User Content Ownership: You retain ownership of any intellectual property rights in the content you submit, post, or upload to our platform ("User Content"). However, by submitting User Content, you grant Ollee Technologies, Inc. a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with our product and services.
Consequences of Violation: Violation of these User Conduct and Content guidelines may result in the suspension or termination of your access to the App, Skate Tracker, or related services. Ollee Technologies, Inc. reserves the right to take appropriate legal action against users who violate these guidelines.
FAIR PLAY.
Maintaining Fair Play: Ollee is committed to fostering a community of fair play, sportsmanship, and respect among users of the Skate Tracker, the App, and related services. By accessing, using, or interacting with our product and services, you agree to adhere to principles of fair play and ethical behavior.
Anti-Cheating Policy: Cheating, exploiting glitches, or engaging in any form of dishonest behavior to gain an unfair advantage over other users is strictly prohibited. This includes using external software or manipulation techniques that compromise the integrity of the App, Skate Tracker, or related services.
Rankings and Scores: Rankings, scores, and achievements displayed on the App are intended to reflect genuine skateboarding performance. Any attempts to manipulate or artificially inflate these metrics, such as submitting false data or using automated processes, are in violation of our fair play policy.
Maintaining the Spirit of Skateboarding: We encourage users to enjoy skateboarding and its associated challenges authentically. The use of the Skate Tracker and participation in our community should complement the enjoyment of skateboarding, rather than detract from it through fraudulent activities or misrepresentation.
Fair Competition: Engage in friendly competition that upholds the principles of fairness and transparency. Compete on a level playing field and strive for improvement through genuine efforts.
Violation Consequences: Any violation of the Fair Play policy may result in the suspension or termination of your access to the App, Skate Tracker, or related services. Ollee Technologies, Inc. reserves the right to take appropriate actions, including legal measures, against users who engage in activities that compromise fair play.
PRIVACY AND DATA USAGE.
Privacy Policy: Your privacy and the protection of your personal information are of utmost importance to Ollee. Our practices regarding the collection, use, and disclosure of your personal information are outlined in our Privacy Policy. By accessing, using, or interacting with the Skate Tracker, the App, and related services, you agree to the terms of our Privacy Policy.

PAYMENT AND REFUND POLICY.
One-Time Purchase: By purchasing the Skate Tracker and related services, you agree to pay the specified purchase price for the Skate Tracker. Payment is required in full at the time of purchase.
Payment Methods: We accept various payment methods, which may include credit cards, debit cards, and other payment options as indicated during the checkout process. All payments are processed securely through our payment processor.
Price and Currency: The purchase price for the Skate Tracker is clearly stated on our platform. The price is presented in USD , and any applicable taxes or fees are included in the total amount.
No Subscription Fees: Please note that the Skate Tracker and its related services are offered as a one-time purchase. We do not currently offer subscription plans or recurring fees for the use of the Skate Tracker or the App.
Refund Policy: We strive to provide high-quality products and services. If you are not satisfied with your purchase, you may be eligible for a refund, subject to the terms and conditions of our Refund Policy.
Refund Eligibility: Refund eligibility is determined based on the specific circumstances of your purchase. To request a refund, you must contact our customer support team by visiting https://www.ollee.app/get-started/#support to submit a request. within 30 days of your purchase. Refunds will only be issued for unopened and unused Skate Tracker devices.
Refund Process: If you are eligible for a refund, we will provide you with instructions on how to return the unopened and unused Skate Tracker. Once we receive and inspect the returned item, we will process your refund in accordance with our Refund Policy.
Non-Refundable Items: Opened or used Skate Tracker devices, digital content, and any items not meeting the criteria specified in our Refund Policy are not eligible for a refund.
Changes to Refund Policy: Ollee Technologies, Inc. reserves the right to modify or update our Refund Policy at any time without prior notice. Any changes to the Refund Policy will be effective immediately upon their posting on our platform.
LIMITATION OF ACCURACY.
Nature of Skate Tracker Data: The Skate Tracker is designed to track motion, record skateboarding tricks, and provide associated metrics. While we strive to provide accurate and reliable data, it is important to understand that the data captured by the Skate Tracker may not be entirely precise or error-free.
Variability of Skateboarding Conditions: Skateboarding is a dynamic and diverse activity that takes place in various environments, surfaces, and conditions. The accuracy of the Skate Tracker's data may be affected by factors such as terrain, weather, and the user's skateboarding style.
Limitations in Tracking: The Skate Tracker may not capture every motion or trick performed during a skateboarding session. It may not accurately detect certain maneuvers, especially those performed with unconventional techniques or in rapid succession. Users should anticipate variations in data capture and scoring.
User Understanding and Assumption of Risk: By using the Skate Tracker, you acknowledge and accept the limitations in the accuracy of the data it provides. You understand that the data may not fully reflect your skateboarding performance or experience. You assume all risks associated with relying on the data generated by the Skate Tracker.
No Guarantees or Warranties: Ollee Technologies, Inc. makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of the data captured by the Skate Tracker. We disclaim any liability for any inaccuracies, errors, or omissions in the data.
User Responsibility: You are responsible for interpreting the data generated by the Skate Tracker and making informed decisions based on your own assessment of your skateboarding performance. You should use the data as a reference and not solely rely on it for critical decisions.
LIMITATION OF LIABILITY AND DISCLAIMER.
Voluntary Assumption of Risk: By accessing, using, or interacting with the Skate Tracker, the App, and related services, you expressly agree that skateboarding, as well as any related activities and tricks performed in connection with our product and services, carry inherent and significant risks of property damage, bodily injury, or even death. These risks may be exacerbated by a desire to earn scores within our system, which could lead to fatigue, increased frequency of skating or attempting higher-risk tricks, or by the potential interference of the device with the skating activity. You voluntarily assume all known and unknown risks associated with these activities, even if such risks are caused in whole or in part by the action, inaction, or negligence of Ollee, or by the action, inaction, or negligence of others. You acknowledge that the consequences of your engagement with the Skate Tracker, the App, and related services, whether they stem from your actions, the actions of others, or the functionality or operation of the device and accompanying software, fall under your voluntary assumption of risk.
No Responsibility for User Activities: You also expressly agree that Ollee Technologies, Inc. does not assume responsibility for the inspection, supervision, preparation, or conduct of any skateboarding activity, trick, contest, or event that utilizes our service. You acknowledge that your participation in skateboarding activities is a voluntary choice, and you are solely responsible for assessing your abilities, the conditions, and any associated risks. Ollee Technologies, Inc. shall not be liable for any damage to or loss of personal property including, but not limited to, the device, skateboard, phone, or other items, arising from or connected with the use of our service.
Release of Liability: By accessing, using, or interacting with the Skate Tracker, the App, and related services, you expressly agree to release Ollee, its subsidiaries, affiliates, officers, agents, representatives, employees, partners, and licensors (collectively, the "Released Parties") from any and all liability connected with your activities related to your use of our product and services. You promise not to sue the Released Parties for any claims, actions, injuries, damages, or losses associated with your athletic activities.
Limitation of Liability: You also expressly agree that in no event shall the Released Parties be liable to you or any third party for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with (a) your use or misuse of the Skate Tracker, the App, or related services, (b) your use or misuse of equipment or programs created or licensed by Ollee Technologies, Inc. while engaged in related activities, (c) your dealings with third-party service providers or advertisers available through the service, (d) any delay or inability to use the service experienced by you, (e) any information, software, products, services, or content obtained through the service, whether based on contract, tort, strict liability, or otherwise, even if Ollee Technologies, Inc. has been advised of the possibility of damages.
No Fitness or Safety Guarantees: We do not guarantee any specific fitness, health benefits, or safety improvements from using the Skate Tracker, the App, or related services. The data provided is not intended to substitute for professional medical, fitness, or safety advice. You should consult with qualified professionals before making decisions related to your health, fitness, or safety.
No Endorsement or Control: Ollee Technologies, Inc. does not endorse, control, or assume any responsibility for User Content, interactions between users, or any content posted on social media platforms by users of our product and services. We disclaim any liability for the accuracy, legality, or quality of User Content or interactions.
No Liability for Third-Party Services: We may provide links to third-party services or platforms for your convenience. However, we do not endorse, control, or assume any liability for the content, practices, or policies of these third-party services. Your use of such services is at your own risk and subject to their terms and policies.
Total Liability Limitation: In no event shall Ollee Technologies, Inc.'s total liability to you for all claims, whether in contract, tort, negligence, strict liability, or any other legal theory, exceed the purchase price paid by you for the Skate Tracker.
INDEMNIFICATION.
Your Obligation to Indemnify: You agree to indemnify, defend, and hold harmless Ollee, its subsidiaries, affiliates, officers, directors, agents, representatives, employees, partners, and licensors from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
Your access, use, or interaction with the Skate Tracker, the App, and related services;
Your violation of these Terms or any applicable law, regulation, or third-party rights;
Your User Content, including any claims of infringement, misappropriation, or violation of intellectual property rights;
Your activities, including skateboarding and related activities, performed in connection with your use of our product and services;
Your interactions with other users, third-party service providers, or advertisers available through our services;
Any unauthorized use of your account or any security breach related to your account.
Notice and Defense: We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of the claim and to provide us with reasonable assistance, at your expense, as we may request.
No Waiver of Rights: Our exercise of rights to indemnification does not waive or affect any other rights or remedies available to us under these Terms, at law, or in equity.
DISPUTE RESOLUTION.
Informal Resolution: We encourage you to first contact us at [contact email] if you have any concerns, disputes, or inquiries related to our product and services. We will make reasonable efforts to address your concerns in a timely and transparent manner.
Agreement to Arbitrate: If we are unable to resolve a dispute informally, both you and Ollee agree that any dispute arising out of or in connection with these Terms, the Skate Tracker, the App, and related services shall be resolved through binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association ("AAA") or the ADR Institute of Canada, Inc. (ADRIC). The arbitration shall be conducted by a single arbitrator appointed in accordance with the AAA or ADRIC rules.
No Class Actions: You and Ollee Technologies, Inc. agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This means that you may not bring a claim against us as a plaintiff or a class member in a class, consolidated, or representative action.
Arbitration Location: The arbitration shall be conducted in Toronto, Ontario, Canada, unless you and Ollee Technologies, Inc. agree otherwise. Each party shall be responsible for their own costs associated with the arbitration, including attorneys' fees.
Enforcement of Arbitration Award: The arbitrator's award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Any arbitration award may be enforced by any court with jurisdiction over the parties.
GOVERNING LAW.
GOVERNING LAW: These Terms, the use of the Skate Tracker, the App, and related services shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to its conflict of law principles.
Choice of Forum: You agree that any action, claim, dispute, or proceeding arising out of or in connection with these Terms, the Skate Tracker, the App, and related services, shall be subject to the exclusive jurisdiction of the courts located in the province of Ontario, Canada. You hereby consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts on grounds of venue, forum non conveniens, or any similar doctrine.
NOTICE OF COMMUNICATIONS.
Method of Communication: You agree that Ollee may provide notices, communications, updates, and other information to you electronically, by posting such notices on our platform, sending them to your registered email address, or by any other method we deem appropriate. Such electronic notices shall be deemed effective when posted or sent.
Updating Contact Information: It is your responsibility to ensure that the contact information associated with your account is accurate and up-to-date. You agree to promptly notify us of any changes to your email address or other contact information.
Consent to Electronic Notices: By using the Skate Tracker, the App, and related services, you expressly consent to receive electronic notices and communications from us. You acknowledge that electronic notices have the same legal effect as written communications.
No Opt-Out: You acknowledge that certain communications may be necessary for the proper functioning of the Skate Tracker, the App, and related services. Therefore, you may not be able to opt out of receiving certain notices.
No Liability for Undelivered Notices: We shall not be responsible for any failure to deliver notices or communications due to technical issues, changes in your contact information, or other reasons beyond our control.
THIRD-PARTY LINKS AND INTEGRATION.
Integration of Third-Party Features: In the course of using the Skate Tracker, the App, and related services, you may integrate or interact with third-party features, platforms, or services. Any such integration or interaction is solely between you and the applicable third party. We do not warrant or endorse any third-party features and disclaim any liability for your use of such features.
Third-Party Agreements: Your interactions with third-party services, features, or content, including your submission of personal information to such third parties, are governed by the terms and policies of those third parties. We recommend that you review the terms and policies of third-party services before using them in connection with our product and services.
No Responsibility for Third-Party Services: We shall not be responsible for the accuracy, legality, quality, or any other aspect of third-party services, features, content, or interactions. Your use of third-party services is at your own risk and discretion.
ENTIRE AGREEMENT.
Entire Agreement: These Terms including any legal notices, policies, and guidelines provided by Ollee, constitute the entire agreement between you and us concerning the use of the Skate Tracker the App, and related services.
Supersedes Prior Agreements: These Terms supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, between you and Ollee Technologies, Inc. relating to the subject matter of these Terms.
SEVERABILITY.
Scope: If any provision of these Terms, the use of the Skate Tracker, the App, and related services is held to be invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the remaining provisions of these Terms.
Modification of Invalid Provision: The invalid or unenforceable provision shall be modified or severed to the extent necessary to make it valid and enforceable while preserving its intent. If modification or severance is not feasible, such provision shall be deemed excluded from these Terms, and the remainder of these Terms shall remain in full force and effect.
Effect on Agreement: The modification or exclusion of any provision deemed invalid or unenforceable shall not affect the validity or enforceability of the other provisions of these Terms, which shall continue to govern the relationship between you and Ollee.
WAIVER.
No waiver by Ollee of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Olle's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Express Waiver Required: Any waiver by Olle of a particular breach or default under these Terms shall not constitute a waiver of any subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of Olle to be valid and effective.
Limitation of Waiver: No waiver of any term or condition shall be construed as a waiver of any other term or condition, and no waiver shall be deemed a waiver of any subsequent breach or default.
Preservation of Rights: Olle's exercise or non-exercise of any rights or remedies provided in these Terms shall not preclude or prejudice Olle's right to exercise any other rights or remedies available under these Terms, at law, or in equity.
HEADINGS.
Scope: The headings and subheadings in these Terms are included for convenience only and shall not affect the interpretation or construction of these Terms. They are not intended to define, limit, construe, or describe the scope or extent of any provision or the intent of any section.
Interpretation: In the event of any discrepancy or conflict between the headings and the text of these Terms, the text of these Terms shall prevail. The headings are provided solely to assist in locating relevant sections and are not to be considered substantive parts of these Terms.
MODIFICATION OF TERMS.
Ollee reserves the right to modify, amend, or change these Terms at any time, at its sole discretion. Such modifications shall be effective immediately upon posting on the Ollee platform or by other means of communication determined by Olle.
Notice of Changes: Olle will make reasonable efforts to notify you of any material changes to these Terms. It is your responsibility to review the Terms periodically for updates. Your continued use of the Skate Tracker, the App, and related services after any modifications to the Terms shall constitute your consent to such changes.
Discretion to Modify: Olle reserves the right to modify, suspend, or discontinue the Skate Tracker, the App, and related services, or any part thereof, at any time, with or without notice. Olle shall not be liable to you or any third party for any such modification, suspension, or discontinuance.
Waiver of Right to Specific Notice: By agreeing to these Terms, you waive any right to receive specific notice of each modification or change to the Terms. It is your responsibility to regularly review these Terms for updates.
